How to register a company in Uzbekistan as a foreigner

Short answer: yes. Foreign individuals and companies can be founders of a limited liability company (LLC) in Uzbekistan. One founder is enough (up to 50 participants). According to the text of the new Law on LLCs (ZRU-1137 of 21.04.2026, in force from 22.07.2026 per lex.uz) there is no general minimum share capital. Applications are usually filed online with an electronic digital signature (EDS); public sources report 1–2 working days for the registration itself after filing, while preparing documents and opening a bank account take additional time.
Steps

LLC registration: from idea to first bank account

1. Preparation

  • Choose the legal form, company name (a name can be reserved) and legal address
  • Draft the charter: share capital, participants' shares, governing bodies; the charter must state the company's postal address
  • Prepare passports of founders and the director; documents issued abroad usually need a translation and legalization — we confirm the exact set for your country

2. Filing

  • Obtain an electronic digital signature (EDS)
  • File online through the government portal or in person at a public services center
  • Pay the state fee (a discount applies to online filing)

3. After registration

  • Company seal and corporate bank account
  • Choosing a tax regime and setting up accounting
  • HR: hiring staff, work permits for foreign employees

LLC

  • A legal entity; participants are liable up to their share in the charter capital
  • A single founder is allowed; up to 50 participants

Representative office

  • No commercial activity: market research, coordination
  • Accreditation required (per public data — for one to three years)

Permanent establishment

  • Not a legal entity: tax obligations arise when a foreign company operates in the country for over 183 days or runs projects (construction, warehousing, sales)

FAQ

Can a foreigner own 100% of a company in Uzbekistan?

In most sectors, yes: public sources (IT Park Uzbekistan) state that up to 100% foreign ownership is possible without a local partner. Some activities are restricted or licensed, so we check your specific business before filing.

Can a foreigner be the sole founder of an LLC?

Yes. Both individuals and legal entities, including foreign ones, can be founders; a single founder is allowed and the maximum is 50 participants.

How long does registration take?

According to public sources, LLC registration takes 1–2 working days after the application is filed. Documents, the EDS and opening a bank account take additional time, depending on the bank and the founders.

What minimum share capital is required?

Under the new Law on LLCs (ZRU-1137 of 21.04.2026, in force from 22.07.2026 per lex.uz) there is no general minimum: a minimum may be set only by licensing requirements for particular activities. Each participant pays in by the deadline set in the charter, but no later than one year after state registration.

Do I need to come to Uzbekistan to register?
